Terms of Service
These terms are an agreement between you and Topcoat. By creating an account or using the product, you accept them.
What Topcoat is
Topcoat is software that helps contractors capture a job walk-through, build an estimate, and send it to a customer, who can view and accept it through a link. Topcoat is a tool, not a party to the work.
What Topcoat is not
A bid created with Topcoat is an agreement between the contractor and their customer. Topcoat is not a contractor, broker, escrow service, or guarantor of either side. Prices, scope, workmanship, scheduling, payment, licensing, and insurance are entirely between you and your customer. An acceptance recorded in Topcoat records that the customer accepted; whether it forms a binding contract, and on what terms, is a matter between the two of you and your local law.
Your account
You sign in with a one-time code sent to your email address. You are responsible for keeping access to that email address secure. You can delete your account at any time in the app; deletion is permanent and includes everything in the account.
Your content and your responsibilities
- What you put into Topcoat stays yours. You give us permission to store and process it only as needed to run the service for you.
- You are responsible for the accuracy of your bids and for having the right to use the information you enter about your customers.
- You agree not to use Topcoat to send spam or deceptive messages, to misrepresent who you are, or to interfere with the service. Email sending is rate-limited to protect deliverability for everyone.
Availability and changes
Topcoat is under active development. Features may change. We aim to keep the service reliable but do not promise uninterrupted availability. The app is designed to keep working offline; syncing requires a connection.
Disclaimers and limitation of liability
Topcoat is provided as-is, without warranties of any kind, to the fullest extent permitted by law. To the same extent, Topcoat's total liability for any claim arising out of the service is limited to the amount you paid us in the twelve months before the claim, and Topcoat is not liable for indirect, incidental, or consequential damages — including disputes between you and your customers, lost profits, or lost data beyond what deletion controls in the product allow you to prevent.
Termination
You can stop using Topcoat and delete your account at any time. We may suspend or terminate accounts that violate these terms or abuse the service, and where practical we will say why.
Governing law
These terms are governed by the laws of the United States and the state in which Topcoat's operator resides, without regard to conflict-of-law rules.
Changes to these terms
If these terms change materially, we will post the new version here with a new effective date. Continuing to use the service after that means you accept the new terms.
